    ClickAlgo Source Code Agreement

    This Source Code Agreement (the “Agreement” or “Source Code Agreement”) states the terms and conditions that govern the contractual agreement between ClickAlgo Limited having his principal place of business at Kemp House 160 City Road, London EC1V 2NX, (the “Software Provider”), and the Customer registered with the ClickAlgo.com website (the “Customer”) who agrees to be bound by this Agreement when they pay for the source code of a product on the ClickAlgo.com website.

     

    Definitions

    • "Agreement" means these Terms and Conditions of purchasing source code from the software provider.

    • "Software Provider" means us ClickAlgo Limited, company.

    • "Customer" means the organization or person who purchases the source code from ClickAlgo Limited.

    • "cBot & Indicator" is the software product that runs on the cTrader Desktop platform.
    • "Product" means digital software offered on our website for use with the cTrader platform, usually in the form of cTrader cBots and indicators.

    • "cTrader Platform" is the Windows-based trading platform created by Spotware Systems where the software will run.
    • "Source Code" is a set of programming statements created by a programmer using code editing software, ClickAlgo Limited offers the code to customers for a fee for selected products for the cTrader desktop trading platform.

     

    WHEREAS, the Customer has requested the source code for a cBot or indicator used with the cTrader platform (the “Software”), and the Software Provider (ClickAlgo Limited) who owns the software.

    NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties to this Buying Source Code Agreement, the Software Provider, and the Customer (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follows:

     

    Payment & Delivery Terms

    1. In consideration for the Service, the Customer shall pay the Software Provider a fixed fee as stated on the website or as quoted by the Software Provider for the source code of a cTrader cBot or indicator.

    2. Payment of sums due by the Customer to the Software Provider shall be made using the payment link provided by the Software Provider, the link will open the buy source code payment page where the client can be using their credit, debit cards, PayPal or Bitcoin.

    3. All monetary amounts stated in this Agreement are inclusive of VAT and must be paid in Pound Sterling (GBP).

    4. After payment, the service provider will send the source code for the cTrader product within 24 hours to the Customers email address as a compressed file.

    5. Invoices are available at the Customers request.

     

    Software Covered

    This agreement covers the use of the source code for the software that was purchased on the ClickAlgo.com website, details of this purchase can be found in the Customers order history.

     

    Refund Terms

    After we have sent the customer the source code as a file via email, no refunds are given as a return of the product is no longer possible.

     

    Your Rights & Digital Goods

    Digital downloads are given their own unique category under the Consumer Contracts Regulations and are therefore not services or goods, once you download the product we are not obliged by law to refund you.

     

    Ownership

    The software shall always remain the intellectual property of ClickAlgo Limited.

     

    Software Maintenance & Support

    1. The Software Provider will offer free bug fixing up to 28 days after the final product has been delivered. The customer must also allow the Software Provider reasonable time to correct any bugs found. The Software Provider has the right to refuse support within the 28-day warranty period if the customer modifies the source code.

    2. If an existing bug is found in the trading platform that affects any of the source code purchased, then the Customer will need to contact the creators of the trading platform (Spotware) to report this bug and wait for it to be fixed in a future update. The Software Provider is under no obligation to restructure or implement new code on a product as a workaround to correct the issues.

    3. It is the Customer's obligation to back up all source code provided by the Software Provider. The Software Provider cannot be held responsible for the source code files after they are delivered to the Customer.

    4. The Software Provider is under no obligation to investigate any bugs where the functionality of the product sold with source code is the same as the functionality of the product sold on ClickAlgo.com without the source code.

    5. The Customer agrees to communicate with the Software Provider using the support website at cTrader.info and the Customer fully understands that the Software Provider does not provide email product support.

     

    Restrictions

    The software shall not be resold in any way online or via other media channels.

     

    Liability

    Under no circumstances will either party or their representatives be liable to each other for any incidental, consequential, or indirect damages including but not limited to lost or damaged data, revenue loss, economic loss, or commercial loss arising out of a breach of any terms and conditions set forth in this source code license agreement.

     

    Time of the Essence

    Time shall be of the essence in this Agreement as regards any time, date or period mentioned in this agreement or subsequently substituted as a time, date or period by agreement in writing between the parties.

     

    Language

    This Agreement is made only in the English language. If there is any conflict in the meaning of the English language version of this Agreement and any version or translation of it in any other language, the English language version shall prevail.

     

    Dispute Resolution

    For the purpose of this clause, a dispute shall be deemed to have arisen when one party serves on the other notice in writing via email stating the nature of the dispute.

    Any dispute which may arise between the parties concerning this Agreement shall be determined as follows.

    1. Within 24 hours the representatives of the Parties shall correspond via email to attempt to settle the dispute by mutual agreement.

    2. In any other case if the dispute remains unresolved the dispute shall be determined by the High Court of Justice in England and the Parties submit to the exclusive jurisdiction of that Court for such purposes.

     

    Every time you use our service you agree that in all cases ClickAlgo Limited bears no responsibility for losses incurred and offers no guarantees or expectations of your algorithm performance or stability.

     

    ClickAlgo Limited reserves the right to change its Terms & Conditions
