    ClickAlgo Source Code Agreement

     

    This Source Code Agreement (the “Agreement”) sets out the terms and conditions governing the sale of source code by ClickAlgo Limited (“Software Provider”), located at Kemp House, 160 City Road, London EC1V 2NX, to customers (“Customer”) who purchase source code through the ClickAlgo.com website.

    By purchasing source code, the Customer agrees to be bound by this Agreement.

    This is a general terms of sale notice.

    Definitions

    • Agreement: These terms and conditions governing the purchase and permitted use of source code.

    • Software Provider: ClickAlgo Limited.

    • Customer: The individual or legal entity purchasing source code from the Software Provider.

    • Source Code: The programming source files supplied by the Software Provider for selected software products.

    • Product: A digital software product offered by ClickAlgo, including cBots, indicators, Add-Ons, strategies, utilities, or other trading software.

    • Platform: The supported third-party trading platform on which the Product is designed to operate, including platforms such as cTrader or NinjaTrader.

     

    Pricing

    The price payable for source code is the price displayed on the relevant ClickAlgo product page at the time of purchase.

    Prices may vary between Products and may change at any time. Any price change will not affect a purchase already completed.

     

    Rights and Limitations

    Included Rights

    Access:
    The Customer will receive the source code files supplied with the purchased Product.

    Modification:
    The Customer may modify the source code for their own permitted purposes.

    Internal Use:
    The Customer may use and modify the source code for their own personal or internal business purposes, subject to the restrictions contained in this Agreement.

    The Customer may deploy their own modified builds across trading accounts that they own or operate internally.

     

    Restrictions

    No Redistribution:
    The source code may not be sold, resold, sublicensed, shared, redistributed, published, uploaded to repositories accessible by third parties, or otherwise made available to any third party.

    No Resale of Modified Versions:
    Modifying the source code does not give the Customer the right to sell, license, distribute, or commercially supply the modified software to third parties.

    Intellectual Property:
    All intellectual property rights in the original source code and Product remain with the Software Provider.

    The purchase grants the Customer the rights described in this Agreement but does not transfer ownership of the original intellectual property.

    No Future Entitlements:
    The source code is provided strictly “as-is”.

    The Customer is not entitled to future updates, feature enhancements, bug fixes, maintenance, technical support, development assistance, compatibility updates, or future versions unless separately agreed in writing.

     

    Integrations and Modifications

    The Customer may modify the source code for their own permitted internal use, including integration with their own systems, servers, APIs, databases, risk-management systems, or other internal infrastructure.

    Any such modifications or integrations are entirely the Customer’s responsibility.

    The Software Provider does not provide support, testing, debugging, development assistance, security reviews, or maintenance for Customer-created modifications or integrations unless separately agreed in writing.

    The Customer is responsible for ensuring that any external services, APIs, servers, or systems used with the Product comply with the rules and technical requirements of the relevant trading platform.

     

    Platform Compatibility

    The Product is designed for the supported Platform identified on the relevant product page.

    Third-party trading platforms may change their APIs, security requirements, execution environment, cloud restrictions, permissions, or other technical behaviour at any time.

    The Software Provider does not guarantee that the source code will remain compatible with future versions of the Platform.

    The Software Provider also does not guarantee that modified software, external integrations, network connections, file access, web requests, APIs, or other custom functionality will operate within platform-hosted or cloud environments such as cTrader Cloud.

    Any platform-related restrictions, compatibility issues, or changes introduced by the Platform provider are outside the Software Provider’s control.

     

    Testing Before Purchase

    Where a free compiled version of the Product is available, the Customer is responsible for testing it before purchasing the source code.

    The Customer should confirm that the Product’s existing functionality, behaviour, and features meet their requirements before completing the purchase.

    Purchasing the source code does not include customisation, modification, development work, or changes to the existing Product.

    The source code purchase provides access to the supplied source files so that the Customer can inspect, modify, build, and maintain the software themselves.

     

    Software Maintenance and Support

    The source code is supplied strictly “as-is”.

    The purchase does not include:

    • bug fixing;

    • technical support;

    • software maintenance;

    • updates;

    • modifications;

    • feature development;

    • integration assistance;

    • installation assistance;

    • compatibility updates;

    • code reviews;

    • debugging of Customer modifications;

    • future versions of the Product.

    The Customer is responsible for maintaining, modifying, testing, compiling, and supporting their own copy of the source code after purchase.

    The Customer is also responsible for maintaining their own backups of all supplied and modified source code.

     

    Refunds and Digital Content

    Source code is digital content supplied electronically.

    Customers should review the Product description and test any available free compiled version, demonstration, trial, or documentation before purchasing source code.

    Where required by applicable consumer law, the Customer may be asked to expressly consent to immediate supply of the digital content and acknowledge that their statutory cancellation rights may be affected once delivery or download begins.

    Nothing in this Agreement excludes or limits any statutory rights that cannot legally be excluded.

    Except where required by applicable law, refunds are not available once source code has been supplied or made available to the Customer.

     

    Ownership

    The Software Provider retains ownership of the original source code and all associated intellectual property rights.

    The Customer receives a licence to use and modify the source code only under this Agreement.

    Purchasing source code does not assign, sell, or transfer copyright or ownership of the original Product to the Customer.

     

    Third-Party Components

    Some Products may depend on APIs, libraries, frameworks, services, or software provided by third parties.

    Any third-party components remain subject to their own applicable licences, terms, restrictions, and availability.

    The Software Provider is not responsible for changes, discontinuation, restrictions, or failures affecting third-party software or services.

     

    Customer Responsibility

    The Customer is responsible for:

    • reviewing and testing the Product before purchasing source code;

    • determining whether the Product is suitable for their intended use;

    • testing all Customer modifications;

    • validating trading behaviour before use on live accounts;

    • maintaining backups;

    • securing their own systems and credentials;

    • ensuring compliance with any applicable Platform rules;

    • ensuring compliance with any laws or regulatory requirements applicable to their own business or trading activities.

    The Customer assumes responsibility for any changes made to the source code after delivery.

     

    Trading Risk

    Software used for trading or risk management may behave differently depending on market conditions, broker settings, Platform behaviour, account configuration, execution conditions, latency, data feeds, or Customer modifications.

    The Software Provider does not guarantee trading performance, profitability, execution accuracy, or protection against trading losses.

    The Customer is responsible for thoroughly testing the software before using it with live trading accounts or real funds.

     

    Liability

    To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, or consequential losses arising from the use or inability to use the source code.

    This includes, without limitation:

    • loss of trading funds;

    • loss of profits;

    • loss of revenue;

    • loss of business;

    • loss of data;

    • loss of commercial opportunities;

    • interruption of business;

    • losses resulting from Customer modifications or third-party Platform changes.

    Nothing in this Agreement excludes or limits liability where such liability cannot legally be excluded or limited.

     

    Dispute Resolution

    Any dispute relating to the purchase or use of source code must first be raised with the Software Provider in writing.

    The parties will attempt to resolve the dispute amicably within a reasonable period.

    If the dispute cannot be resolved, it will be subject to the applicable courts and jurisdiction specified under this Agreement.

     

    Governing Law

    This Agreement is governed by the laws of England and Wales.

    Subject to any mandatory consumer rights that apply, the courts of England and Wales shall have jurisdiction over disputes arising from this Agreement.

    If this Agreement is translated into another language and there is any conflict between the translated version and the English version, the English version shall prevail.

     

    Changes to this Agreement

    The Software Provider may update this Agreement from time to time.

    The version that applies to a purchase is the version published on the ClickAlgo website when the Customer completes the purchase.

     

    Acceptance

    By purchasing source code from ClickAlgo Limited, the Customer confirms that they have read, understood, and agreed to the terms of this Agreement.
