    ClickAlgo Source Code Agreement

     

    This Source Code Agreement (the “Agreement”) sets forth the terms and conditions governing the sale of source code by ClickAlgo Limited (“Software Provider”), located at Kemp House, 160 City Road, London EC1V 2NX, to customers (“Customer”) who purchase source code via the ClickAlgo.com website. By making a purchase, the Customer agrees to be bound by this Agreement.

    This is a general terms of sale notice.

    You must sign a separate agreement specific to the acquired product when purchasing our source code.

     

    Definitions

    • Agreement: These terms and conditions govern the purchase of source code.
    • Software Provider: ClickAlgo Limited.
    • Customer: The individual or entity purchasing source code from the Software Provider.
    • Source Code: The software provider provides a set of programming statements for selected products on the cTrader platform.
    • Product: Digital software products, including cBots, Add-Ons and indicators, are available on the ClickAlgo.com website.
    • Platform: The supported trading platforms on which the software runs, such as cTrader or NinjaTrader.

     

    Pricing Structure

    The price of the source code is determined by:

    • Development Costs: Total cost of development by the Software Provider.
    • Licensing Revenue: Estimated annual revenue generated under standard licensing.
    • Market Value: Strategic value and potential revenue over 10 years.

    Source code pricing is approximately four times the standard 2-year licensing fee to reflect its added value.

     

    Rights and Limitations

    Included Rights:

    • Access: The Customer will receive the complete source code, including all assets required to build and maintain the software.
    • Modification: The Customer may modify the source code as needed.
    • Internal Use: The Customer may use the source code internally without restrictions.

    Restrictions:

    • The source code may not be resold, redistributed, or made available online through any medium.
    • Ownership of the intellectual property remains with the Software Provider.

     

    Refund Policy

    Refunds are not available for source code purchases due to the nature of digital products. Once the software has been delivered, the transaction is final. To ensure a satisfactory purchase, the Customer should:

    • Thoroughly review product details before buying.
    • Utilize any available free trials, demos, or documentation.
    • Contact the Software Provider’s support team with pre-sale questions.

    The Software Provider is committed to resolving any post-purchase issues.

     

    Your Rights & Digital Goods

    Digital downloads are given their unique category under the Consumer Contracts Regulations and are not services or goods. Once you download the product, we are not obliged by law to refund you.

     

    Ownership

    The intellectual property of the source code remains with the Software Provider. The purchase grants the Customer specific rights outlined in this Agreement but does not transfer ownership.

     

    Software Maintenance & Support

    • Bug Fixing: Free bug fixes are provided within 28 days of delivery. The Customer must allow reasonable time for resolution.
    • Modifications: Support may be refused if the Customer modifies the source code.
    • Platform Issues: Any platform-related bugs should be reported to the provider (e.g., Spotware for cTrader or NinjaTrader).
    • Backups: The Customer is responsible for maintaining backups of delivered source code.
    • Support Communication: All support requests must be made via the support website at cTrader.info.

     

    Liability

    Neither party shall be liable for incidental, consequential, or indirect damages, including loss of data, revenue, or commercial opportunities, arising from the use or inability to use the source code.

     

    Dispute Resolution

    • Disputes must be initiated in writing via email.
    • The parties will attempt to resolve disputes amicably within 7-14 days of notification.

    • If unresolved, disputes will be settled by the High Court of Justice in England, under its exclusive jurisdiction.

     

    Governing Law

    This Agreement is governed by English law. In case of a conflict between translations, the English version of the Agreement shall prevail.

     

    Time of the Essence

    Time is of the essence for all obligations specified in this Agreement.

    By purchasing source code from ClickAlgo Limited, the Customer acknowledges and agrees to all terms and conditions outlined in this Agreement.
